Terms & Conditions
This Terms & Conditions Agreement (the “Agreement” or “Terms”) governs the relationship between the Customer (“You” or “Customer”) and Individual Entrepreneur Nikita Yuryevich Kovalchuk (hereinafter referred to as “SimHub”).
DEFINITIONS
“Customer” or “You” means an individual (natural person) who has opened an account with SimHub and has or is about to activate a valid eSIM mobile product or service.
“SimHub” means the proprietary software application offered by SimHub.
“eSIM” means an embedded universal integrated circuit card (eUICC), a programmable SIM embedded directly into a Customer’s device and required for the use of SimHub Services and Products.
“SimHub Products” means, collectively, the SimHub Application, eSIMs, and any SimHub Services or Products offered for sale.
“Intellectual Property Rights” means all intellectual property rights, whether registered or unregistered, including copyrights, trademarks, service marks, trade names, domain names, patents, trade secrets, know-how, designs, confidential information, and all related applications, renewals, modifications, and derivative rights.
“Data” means mobile data allowances provided in accordance with the selected SimHub Data Plan.
“Data Plan” means a mobile data package available for purchase through the SimHub Application specifying the amount of Data, validity period, and applicable price.
“Provider” means a telecommunications operator or partner network through which SimHub Services are provided.
“Services” or “SimHub Services” means SimHub Data Plans and any related services provided to Customers.
GENERAL TERMS
These Terms govern the sale and use of the SimHub Application, Products, and Services.
SimHub allows Customers to access internet connectivity and related services provided by third-party Providers. SimHub acts as an independent contractor and not as an employee, agent, joint venture partner, or representative of any Provider.
SimHub acts as an intermediary service provider between Customers and Providers. SimHub does not initiate data transmissions, select transmission recipients, modify transmitted information, or access transmitted content.
Each Provider is responsible for complying with applicable telecommunications regulations and maintaining all licenses, approvals, and permits required to provide Services within its jurisdiction. SimHub makes no warranties regarding such compliance.
The headings and definitions in these Terms are provided for convenience only and shall not affect interpretation.
SimHub reserves the right to modify these Terms at any time by publishing updated Terms at or through push notifications in the Application. Significant changes may be communicated in advance where reasonably possible.
Changes become effective upon publication unless otherwise stated.
If You do not agree with these Terms or any updates, You must immediately stop using the SimHub Application, Products, and Services. Continued use constitutes acceptance of the updated Terms.
To use the SimHub Application, your device must support eSIM functionality. You should verify compatibility in your device settings before purchasing any SimHub Products.
SimHub Services provide mobile data access only. Voice calls, SMS, and MMS services are not supported unless explicitly stated otherwise.
The SimHub Application only works on unlocked devices that support the SimHub access point name (APN).
SimHub does not use recommender systems in relation to SimHub Products. Customers independently select Data Plans and Products. SimHub may recommend purchasing a new Data Plan before an existing plan expires.
USE OF SIMHUB PRODUCTS AND SERVICES
SimHub Products and Services may only be purchased and used by persons aged 18 years or older, or the age of majority under the laws of their country of residence.
You are responsible for ensuring that use of the Services in your country of residence is permitted under applicable laws.
Customers must comply with all applicable laws and regulations of the jurisdictions in which the Services are used. SimHub is not responsible for any failure by Customers to comply with such laws.
You are responsible for maintaining the confidentiality and security of your Account credentials and for all activities conducted through your Account. SimHub reserves the right to refuse registration or suspend Accounts where reasonably necessary.
You must immediately notify SimHub of any unauthorized use of your Account or any security breach.
By using the SimHub Application and Services, You acknowledge that activities conducted through your Account are deemed to have been authorized by You unless caused by a Force Majeure Event or unauthorized third-party access.
You may request termination of your Account at any time by contacting hello@simhub.me.
If an Account remains inactive for more than one hundred eighty (180) consecutive days, SimHub reserves the right to suspend or deactivate the Account and related Services. Where reasonably possible, prior notice will be provided.
SimHub may impose restrictions, suspend, or terminate access to Services where reasonably necessary due to violations of these Terms or applicable laws.
PURCHASE AND ACTIVATION
Availability of Data Plans may vary by country and region.
After purchase, Customers must download and install the eSIM onto a compatible device in order to activate the selected Data Plan. The downloaded eSIM will remain installed on your device after the Data Plan expires or available Data is depleted unless manually removed.
Customers are advised not to remove the eSIM until the Data Plan has expired or all included Data has been used.
Activation of the eSIM and Data Plan may require a stable internet connection.
Customers may purchase eSIMs through the SimHub Application. Payments may be processed through authorized payment providers.
All eSIM purchases are prepaid and prices include applicable indirect taxes unless otherwise stated.
All payments for SimHub Products and Services must be made in advance.
Customers may enable automatic recurring billing through their Account settings. By enabling recurring billing, Customers authorize SimHub to charge the selected payment method for future renewals or purchases according to the selected billing preferences.
- when remaining Data falls below a specified threshold; or
- shortly before the expiration date of the active Data Plan.
Customers may disable recurring billing at any time through the SimHub Application.
By making an online purchase or top-up, You authorize SimHub to process future payments for the same eSIM using the selected payment method, unless recurring billing is disabled.
SAVED PAYMENT METHODS
Customers may choose to save a payment method in the SimHub Application by explicitly selecting this option during checkout.
Saved payment methods can be selected by the Customer for faster future purchases.
Saved payment methods are securely processed by authorized third-party payment providers (including T-Bank). SimHub does not store full card details.
Saved payment methods may be used only for purchases initiated and confirmed by the Customer in the SimHub Application.
SimHub does not perform automatic or recurring charges without Customer action.
Customers may remove or update saved payment methods at any time in the Application or via customer support.
DURATION AND TERMINATION
Services commence once the eSIM is successfully installed and the selected Data Plan is activated.
The duration of Services depends on the terms of the purchased Data Plan.
The eSIM Data Plan terminates upon expiration of the applicable validity period or full consumption of included Data, whichever occurs first.
SimHub does not guarantee recovery of deleted or lost eSIMs and may not support transfer of eSIMs between devices.
REFUND POLICY
Customers are charged at the time of purchase.
Refunds or exchanges may be requested before activation of the eSIM or in cases of verified technical issues directly attributable to SimHub.
Device incompatibility, incorrect device configuration, or local network limitations are not considered defects attributable to SimHub.
Refund requests and complaints may be submitted through the Application Help Center or by email to hello@simhub.me.
Refund requests will be reviewed within fifteen (15) business days of receipt.
Approved refunds will be issued to the original payment method whenever possible.
Where the original payment method is unavailable, SimHub may offer an alternative refund method or account credit.
Promotional credits and bonus balances are non-refundable.
Services already used or partially consumed are non-refundable unless otherwise required by applicable law.
If Services are suspended or terminated due to violations of these Terms, payments already made are non-refundable.
Nothing in these Terms excludes or limits any mandatory consumer rights that cannot be excluded under applicable law.
CUSTOMER WARRANTIES AND OBLIGATIONS
By using SimHub Products and Services, You agree that:
- You will comply with all applicable laws and regulations;
- You will use SimHub Products and Services only for lawful purposes;
- You will not reverse engineer, decompile, disassemble, modify, copy, or attempt to derive the source code of the SimHub Application or related Services;
- You will not resell or sublicense SimHub Products or Services without authorization;
- You will not use the Services for fraudulent, abusive, unlawful, harmful, or malicious activities;
- You will not distribute malware, spam, or harmful software through the Services;
- You will not interfere with the functionality or security of SimHub systems or Provider networks.
LIABILITY AND TERMINATION
Customers are solely responsible for their use of SimHub Products and Services.
SimHub may suspend or terminate Accounts and Services where reasonably necessary due to:
- violations of these Terms;
- fraudulent or suspicious activity;
- non-payment or chargebacks;
- provision of false information;
- legal or regulatory requirements.
SimHub may cooperate with law enforcement authorities and disclose information where required by applicable law.
SimHub shall not be liable for losses resulting from suspension or termination of Services due to Customer violations.
NO WARRANTIES
SimHub Products and Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, SimHub disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
SimHub Products and Services are not designed for use in hazardous or high-risk environments, including operation of nuclear facilities, aircraft systems, life-support systems, or similar critical infrastructure.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, SimHub shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, business opportunities, or goodwill.
SimHub’s total aggregate liability for any claim arising out of or related to the Services shall not exceed the amount paid by the Customer to SimHub during the three (3) months preceding the event giving rise to the claim.
SimHub is not responsible for failures, interruptions, or performance issues caused by third-party Providers, telecommunications networks, payment providers, or device manufacturers.
SimHub shall not be liable for unsuccessful payments caused by expired cards, insufficient funds, fraud prevention systems, bank restrictions, or incorrect payment information.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
CHANGES IN REGULATION
SimHub may update these Terms where necessary to comply with applicable laws, regulations, or requirements imposed by regulatory authorities.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
PRIVACY AND CUSTOMER CONSENT
By opening an Account and using SimHub Products and Services, You consent to the collection, processing, and use of your personal information in accordance with these Terms and the SimHub Privacy Policy.
If You do not agree with these Terms or the Privacy Policy, You must stop using the Services.
Customers may request deletion of their Account by contacting hello@simhub.me.
SimHub is committed to protecting Customer privacy and personal information.
FORCE MAJEURE
SimHub shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, strikes, power failures, telecommunications outages, governmental actions, or failures of third-party systems (“Force Majeure Events”).
Performance obligations affected by a Force Majeure Event will be suspended for the duration of the event.
INTELLECTUAL PROPERTY RIGHTS
All Intellectual Property Rights related to SimHub Products and Services remain the exclusive property of SimHub and its licensors.
Purchase or use of SimHub Products and Services does not transfer any intellectual property rights to the Customer.
Unauthorized copying, reproduction, distribution, or use of SimHub intellectual property is prohibited.
APPLICATION LICENSE
SimHub grants You a limited, revocable, non-exclusive, non-transferable license to install and use the Application on devices owned or controlled by You solely for personal use and in accordance with these Terms.
- reverse engineer or modify the Application;
- use the Application for unlawful purposes;
- remove copyright or proprietary notices;
- use the Application to create competing products or services;
- distribute or sublicense the Application.
If the Application is downloaded through the Apple App Store or Google Play, additional terms imposed by the relevant App Distributor may apply.
GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the Russian Federation.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Russian Federation.
